Terms & Conditions

1. Principal

1.1 These Terms and Conditions govern the supply of goods sold by [Your Company Name] Ltd ("we" and "us") to the customer ("you") and constitute the entire and only agreement between us in relation thereto.

1.2 All orders placed are subject to acceptance by us by delivery of the goods to you, at which point a legally binding contract is constituted between us. The processing of your payment and acknowledgment of your order does not constitute legal acceptance of your order.

2. Price & Payment

2.1 The price payable for the goods you order is as set out on our website at the time you place your order, plus any applicable charges for delivery.

2.2 Occasionally, an error may occur with our website, and goods may be incorrectly priced. In such cases, we are not obliged to supply the goods at the incorrect price.

2.3 Full payment, including any applicable delivery charges, must be received before your order can be processed unless otherwise agreed in writing.

2.4 If you are an account customer, payment shall be made in full at the end of the month following the date of invoice. Failure to pay may result in the revocation of credit, and interest may be charged at 3% over the current base rate of our bank on outstanding amounts.

3. Delivery & Title

3.1 Unless you collect the goods in person, we will deliver them as per your order. A valid signature will be required on delivery. If you do not receive your goods within the stated timeframe, you must notify us immediately.

3.2 Large items may only be delivered to a ground-floor location for health and safety reasons. You must make your own arrangements for further transport at your own risk.

3.3 Risk in the goods transfers to you upon delivery. However, title in the goods remains with us until full payment has been received.

4. Availability

4.1 While we endeavor to hold sufficient stock, if we have insufficient stock to supply your order, we may, at our discretion, offer a substitute product or refund you within 30 days.

5. Liability

5.1 If you notify us of a problem with the goods within 30 days of delivery, we will either rectify the issue by replacing, repairing, or refunding the goods, as applicable.

5.2 We are not liable for any indirect or consequential loss arising out of a problem with the goods, beyond any refund that may be issued.

5.3 Nothing in these Terms affects your statutory rights as a consumer, nor do we exclude liability for fraudulent misrepresentation, death, or personal injury resulting from our negligence.

5.4 Goods are intended for use in the UK, and we do not guarantee their compliance with regulations outside of the UK.

6. Limited Companies – Guarantee

6.1 Individuals signing trade credit agreements on behalf of a limited company do so as guarantors, undertaking to pay all outstanding sums if the company cannot meet its obligations.

6.2 In the event of liquidation or administration, the guarantor must pay all monies owed to us by the company.

7. Age Requirement for Specific Goods

7.1 If you place an order for age-restricted goods (e.g., solvents, knives), you confirm that you are over 18 and that delivery will be accepted by a person over 18. We reserve the right to cancel orders if we believe this condition is not met.

8. Termination

8.1 We may suspend further supply, stop goods in transit, or terminate the contract if you breach any of these Terms or become insolvent. Upon termination, all outstanding payments become due immediately.

9. Force Majeure

9.1 We are not liable for failure or delay in delivery caused by events beyond our reasonable control, including but not limited to strikes, lockouts, or other industrial disputes.

10. General

10.1 If any provision of these Terms is found to be invalid or unenforceable, the validity of the remaining Terms shall not be affected.

10.2 This contract shall be governed and interpreted in accordance with English law.
